Terms & Conditions

These Terms & Conditions ("Agreement") govern all sales, rentals, services, and transactions between MetriflowSolutions ("Company", "we", "us", or "our") and the customer ("Customer", "you", or "your"). By placing an order, requesting services, or entering into any agreement with us, you agree to be bound by these Terms & Conditions.

1. Orders and Acceptance

All orders are subject to acceptance by MetriflowSolutions.
We reserve the right to reject any order for any reason before shipment or fulfillment.
Any terms or conditions contained in the Customer's purchase order or other documents that are inconsistent with these Terms & Conditions are expressly rejected.

2. Pricing and Payment

Prices are quoted in U.S. Dollars (USD), exclusive of taxes, duties, shipping, or handling fees unless otherwise stated.
Payment terms are Net 30 days from invoice date unless otherwise agreed in writing.
Late payments may be subject to interest charges of 1.5% per month or the maximum amount permitted by law.

3. Delivery and Title

Delivery dates are estimates and not guaranteed. MetriflowSolutions is not liable for any delays beyond our control.
Freight charges and insurance are the responsibility of the Customer unless otherwise specified.

4. Product Warranty

MetriflowSolutions warrants that its products are free from defects in material and workmanship for a period of [6 months] from the date of shipment.
This warranty does not apply to damage caused by misuse, abuse, improper installation, or unauthorized modifications.
Warranty claims must be submitted in writing and approved by MetriflowSolutions before any return or replacement.

5. Equipment Rental Terms (if applicable)

Rented equipment remains the property of MetriflowSolutions at all times.
Customer is responsible for the safe operation, proper maintenance, and return of rented equipment in good condition.
Rental fees, deposit terms, and rental periods are specified in separate rental agreements.

6. Returns and Cancellations

Returns require prior written authorization from MetriflowSolutions and are subject to restocking fees.
Customized or special-order products are non-returnable unless defective.
Cancellation of orders may be subject to cancellation charges based on work performed and materials purchased.

7. Limitation of Liability

MetriflowSolutions' total liability shall not exceed the purchase price of the product or service giving rise to the claim.
In no event shall MetriflowSolutions be liable for indirect, incidental, consequential, or special damages.

8. Intellectual Property

All intellectual property rights in the products, designs, software, and documentation remain the property of MetriflowSolutions.
Customer shall not copy, reverse engineer, or otherwise infringe upon our intellectual property.

9. Export Compliance

Customer agrees to comply with all applicable export control laws and regulations.
Products may not be resold or transferred to restricted countries, entities, or individuals.

10. Governing Law

This Agreement shall be governed by the laws of United States of America.

11. Force Majeure

MetriflowSolutions shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, supply chain disruptions, or governmental actions.

12. Entire Agreement

These Terms & Conditions constitute the entire agreement between the parties and supersede all prior agreements or understandings.
